HISI S.p.A. refinances two hospital concessions under its investee companies Genesis Genesi Uno and Genesi Due.
Hisi S.p.A., a healthcare and infrastructure investment holding company owned by funds managed by Ardian, through its subsidiary Genesis 22, announces the completion of a refinancing transaction on a non-recourse HoldCo financing basis. It will be structured on several credit lines including a Debt Service Reserve Facility, totaling €88 million.
The aim is to prepay existing debts held by its subsidiaries Genesi Uno e Genesi Due, the companies holding concessions related to the Legnano and Verduno hospitals. In addition, HISI S.p.A., through the refinancing transaction, acquires the remaining 50 percent stake in Verduno Hospital, thus becoming the sole shareholder.
The financing is structured as a Social Loan confirming Hisi and the banks' focus on social responsibility.
The financing was provided by a pool of four banks: Societe Generale, Credit Agricole Italia, BPER Banca S.p.A. and Credit Agricole Corporate and Investment Bank, which acted as Social Loan Coordinator.
Hisi and the group companies involved were assisted by advisors Arcus Financial Advisors e BonelliErede.
Specifically, Arcus Financial Advisors, as exclusive Financial Advisor, acted in the process of modeling, structuring, negotiating, and finalizing the financing with a team led by CEO Stefano Cassella, Senior Partner Federico Mander, and Director Stefania Gatti.
The law firm BonelliErede acted with a multi-disciplinary team led and coordinated by Partners Catia Tomasetti and Giorgio Frasca.
Associates Beatrice Corda, Lucia Vittoria Lonoce, Annalisa Pangallozzi, and Esmeralda Olivari handled the negotiation and definition of the financial documentation.
